Master Terms & Conditions
1. Overview & Scope of Services
By accessing or using the services provided by InRole ("Service Provider", "we", "us"), the Client ("you") agrees to these Master Terms and Conditions. InRole offers core financial and administrative services including Fractional CFO, Accounting, Tax & Payroll, Employer of Record (EOR), and Business Incorporation. Provision of services requires your timely cooperation, accurate data, and necessary system access. Unreasonable delays or omissions on your part relieve us of liability for impacted deliverables.
2. Pricing, Payments & Cancellations
- Pricing & Updates: Rates are set per your subscription order form. InRole reserves the right to adjust service pricing, providing at least 30 days' advance written notice before new subscription rates take effect.
- Cancellation Notice: You must provide a written notice of cancellation at least 30 days prior to your desired termination date. Services and applicable fees remain in effect through the notice period.
- Payment & Credit Policy: All sales are final, and payments are non-refundable. However, if you choose to terminate services prior to key deliverables or during your notice period, any unused prepaid fees will be issued as a Service Credit. Service credits remain valid for 6 months and may be applied toward any future InRole service or transferred to an affiliated entity.
3. Privacy, Data Handling & Confidentiality
- Customer Data & Rights: You retain ownership of your data. By using our services, you grant InRole permission to store, process, and transfer your data to provide the services. We may use aggregated, non-identifiable data for industry benchmarking.
- Third-Party Services: We are not responsible for the performance, availability, or data security practices of third-party platforms integrated with our software.
- Confidentiality: Both parties agree to exercise reasonable care to protect non-public, sensitive information from unauthorized disclosure.
4. Disputes, Appeals & Governing Law
- Dispute Resolution: Any concerns or disputes regarding pricing, service quality, or cancellations must be submitted in writing within 14 days of the incident. InRole will review and respond within 14 days.
- Appeals Process: If dissatisfied with the response, you may appeal in writing within 7 days. A senior manager will review the appeal and communicate a final decision within 14 days.
- Legal Jurisdiction: This agreement is governed by the laws of Delhi, India. Disputes are subject to individual binding arbitration in Delhi, and both parties waive any right to class actions.
5. Non-Solicitation
During the term of agreement and for one year thereafter, you agree not to directly or indirectly solicit or hire any InRole personnel assigned to your account. Breaches incur a liquidated damages fee of ₹25,000 per individual.
